Hours:  8am – 5pm regardless of time zone
Company Information, Industry, Size:  ASH is a privately-owned specialty health organization. They cover things like fitness, wellness, health management, etc. A lot of large health insurance plans offer chiro/acupuncture benefits thru ASH. Over 1000 employees, offices in IN, CA, TX, SC

Team Size:  full team is 17 in department; 7 contract specialists + these 2; Chief Legal Officer is the head of the department

Interview Process: 
Initial phone screen with HR will be scheduled as soon as submitted
HR will send a short 1-page NDA assessment (add comments, redline, voice concerns, etc.)
Final round, video interview with 2 hiring managers
Must Haves: 
Experience with contracts, reviewing, redlining, commenting on areas of concern to send to manager
Job Summary/Description:
  • Bachelor’s degree in English, History, Political Science, Paralegal certificate or equivalent experience. Master’s degree in Health Care Administration, Legal degree preferred.  If equivalent experience, high school diploma required.
  • Minimum 2 years’ experience in contract development and an emphasis in contract language negotiation and document management. Internal Company experience and in depth understanding of Company systems, policies and procedures preferred.
  • Experience with health insurance contracts, managed health care, and/or working with health plans and employer groups preferred.  Equivalent experience in a regulated industry may be considered.
  • Proficient in MS Office (Word, Outlook, Excel).  Proficient in SharePoint preferred.
  • Knowledge of Health Care Regulations preferred.

Statement of Overall Purpose or Job Objective
The primary purpose of this position is to support the contract management department of the Company.  Note: The individual in this position is not intended to practice law or provide legal advice.   The individual in this position does not negotiate rates.
Detailed Duties and Responsibilities – Essential Functions
80% Assists in supporting Department and is accountable for all activities within assigned scope of authority. The specialist’s assigned scope of authority may focus on one or more lines of business and primarily includes, but is not limited to, the following:
  • Prepares and manages standard and non-standard form contracts, agreements, amendments, and similar documents including, but not limited to:
  • Employer agreements and related documents for new and existing business employer group contracts, group subscriber agreements, administrative/network agreements, etc.;
  • Health plan agreements and related documents for new and existing business capitation and compensation service agreements, new administrative/network agreements, etc.;
  • New product and program agreements and related documents;
  • Agreements, amendments, and related documents for Health Management;
  • Provider, practitioner, or fitness facility agreements and related documents; 
  • Vendor agreements and related documents; NDAs, LOIs, MOUs, RFPs; Agreements related to internal operations, i.e., related to Human Resources, Information Technology, etc.
  • Acquires and maintains subject matter expertise with assigned clients in a constantly evolving contracts environment.
  • Proactively issue spots to identify potential barriers to agreement language resolution and offers suggestions to internal stakeholders to resolve same.    
  • With supervision, prepares revisions of various standard form contracts, agreements, and amendments, including but not limited to, group agreements, health plan agreements, and member materials, as assigned by Director or Administrator(s). 
  • With supervision, collaborates with the applicable line of business leadership team, committees (CCC and KPT), and other departments to develop negotiation parameters and strategies for use in the development of contracts to support existing and new products agreements and amendments.  Modifies standard form agreements with revised standard options.  Independently prepares non-standard modifications to reflect negotiated changes, within parameters approved by Director or Administrator(s).
  • Works with Regulatory Compliance Department to: a) ensure regulatory requirements provided by the Regulatory Compliance Department are included in agreements executed in certain states; and b) provide contract information and support needed for compliance activities.
  • With supervision, negotiates, and/or assists business partners with negotiating, contracts, agreements, and amendments with external clients as assigned by Director or Administrator(s) and within parameters approved by Director or Administrator(s).
  • Timely informs Director and/or Administrator(s) of urgent issues.
  • Responsible for coordinating and maintaining and ensuring the reliability and validity of contract tools (grids, databases, etc.) used to track agreements and status.
  • Maintains Contracts and agreements library of executed agreements.
15% Supports administrative functions of Department.
  • Provides Director and Administrator(s) with periodic contract status updates regarding client assignments.
  • Manages client timeframe expectations and escalates concerns regarding ability to meet client timeframe expectations.
  • Assists with training of new employees.
  • Interacts positively with other departments and external contacts as needed.
  • Represents Company in an ethical, professional, and positive manner.
  • Maintains all information and material received from employer, clients, and legal counsel during employment on a strictly confidential basis.  The sharing of any information is strictly forbidden under any circumstances with any non-employee of the Company.
  • Maintains and learns computer and system skills necessary to perform job functions.
  • Assists with process management including but not limited to tracking and filing.
  • Photocopies, files, and faxes as needed to support job responsibilities.
